1. Agreement to Terms

By accessing our website and using our Services, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these Terms, you must discontinue use of the Services.

2. SMS/Text Messaging Terms

By voluntarily opting in to our SMS/text messaging service, you consent to receive messages from Piazzasquare LLC for the purposes described at the time of consent. Consent to receive marketing text messages is not a condition of purchase.

a) Description of SMS Use Cases

We use SMS to send appointment confirmations, reminders for scheduled calls and classes, follow-up messages, and, where you have provided the appropriate consent, occasional marketing communications with valuable content and special offers.

b) Opt-Out Instructions

You can opt out of receiving SMS messages at any time by replying “STOP” to any message you receive from us. For help, reply “HELP”.

d) Message and Data Rates

Message and data rates may apply. Message frequency varies.

e) Carrier Liability Disclaimer

3. Our Services

Piazzasquare LLC provides online Italian language learning services, including video courses, live group classes, one-on-one coaching sessions, learning materials, and community access, collectively referred to as the “Program” or the “Services”.

The specific Services, access duration, and number of private lessons included in your purchase depend on the plan you select and the terms disclosed at the time of purchase. Not every plan includes every Service.

4. User Accounts and Age Restriction

To access certain features of the Program, you may be required to create an account. You agree to provide true, accurate, and complete information and to keep this information up to date.

You are responsible for maintaining the confidentiality of your account credentials and for activities conducted through your account. Please notify us promptly if you become aware of unauthorized access.

You must be at least 18 years of age to purchase and use our Services.

5. Payments and Billing

a) Program Fees

Our programs are offered through different plans and access durations. You agree to pay the fees for the plan you select, according to the price and payment schedule disclosed and accepted at the time of purchase.

b) Payment Processing

We use third-party payment processors to handle payments. You must provide a valid payment method to purchase our programs.

6. Refund and Cancellation Policy

Except as required by applicable law or expressly provided in the terms of your purchase, all sales are final and payments are non-refundable.

Due to the digital nature of our products and the availability of access to our Services following purchase, choosing to stop participating in the Program or not using the available Services does not, by itself, entitle you to a refund.

This policy does not limit any rights or remedies that cannot be excluded under applicable law or any express guarantee applicable to your purchase.

7. Program Guarantees

Certain plans may include an express coaching guarantee, such as: “Speak Italian fluently in 5 months or we’ll keep coaching you for free until you do.”

A guarantee applies only where it was included in the offer you purchased. Piazzasquare LLC will honor any such guarantee in accordance with the terms disclosed and agreed upon at the time of purchase.

Eligibility may depend on participation requirements specified in your offer, including attending the lessons required by your learning plan, completing assigned activities, following your teacher’s recommendations, and actively participating in conversation practice.

The applicable learning objective, assessment criteria, eligibility requirements, and scope of continued coaching are those specified in the terms of the guarantee applicable to your purchase.

A commitment to provide continued coaching is a commitment to provide the specified additional support. It does not mean that every student will achieve the same proficiency level within the same timeframe.

The participation expectations in Section 7A do not retroactively add conditions to a guarantee purchased before those expectations were introduced.

7A. Learning Outcomes, Student Participation, and Our Commitment

a) Our Commitment

Piazzasquare LLC will provide the teaching, learning materials, resources, and support included in your purchased plan to support your progress and create a positive, engaging, and enjoyable learning experience.

For plans that include private coaching, an assigned private teacher will serve as your principal learning guide, providing personalized feedback, recommendations, and direction within the scope, duration, and number of private sessions included in your plan.

For plans that include live group classes, we offer daily conversation classes at varied times designed to accommodate students in different time zones and provide regular opportunities to practice Italian.

b) Your Participation and Responsibilities

Learning a language requires consistent effort, active participation, and practice. You agree to dedicate at least four (4) hours per week to your learning program through a combination of lessons, conversation practice, assigned exercises, and independent study.

You are also expected to follow your teacher’s reasonable learning recommendations, apply feedback, and communicate any difficulties so that we can provide appropriate guidance.

Simply purchasing the Program or having access to its resources does not, by itself, produce learning results. Our instruction and support cannot replace your own participation, practice, and effort.

c) Individual Results and Timeframes

Learning outcomes vary from student to student and depend on factors including starting level, consistency, time devoted to learning, active participation, and application of the guidance provided.

Except as expressly provided under a guarantee applicable to your purchase, Piazzasquare LLC does not guarantee any particular level of fluency, proficiency, rate of improvement, or result within a specified timeframe.

The four-hour weekly commitment is a minimum participation expectation intended to support progress. It is not a representation that four hours per week will be sufficient for every student to achieve a particular outcome.

Meeting the participation expectations does not, by itself, guarantee a particular result. Likewise, a student’s pace of progress does not, by itself, establish that the Services have not been provided as agreed.

d) Relationship to Program Guarantees and Student Rights

Nothing in this section overrides or reduces any express guarantee applicable to your purchase, including any commitment to provide continued coaching under Section 7.

Any such guarantee remains subject to the specific eligibility requirements, assessment criteria, and support commitments disclosed and agreed upon at the time of purchase.

Your participation responsibilities do not relieve Piazzasquare LLC of its obligation to deliver the Services included in your purchased plan.

Nothing in this section excludes or limits rights that cannot be excluded or limited under applicable law.

8. Plan Duration and Lifetime Access

a) Access Depends on Your Purchased Plan

Not all plans include Lifetime Access. The duration of your access and the specific Services included depend on the package you purchase and the terms disclosed at the time of purchase.

Purchasing a plan that includes Lifetime Access to certain components does not automatically grant Lifetime Access to every Service offered by Piazzasquare LLC.

b) Components Covered by Lifetime Access

Where included in your purchased plan, Lifetime Access may apply to specific features and resources available through the Piazzasquare app and online platform, including our course library at:

Depending on your package, these components may include access to our regularly updated video-course library, community features, live group classes, or other resources expressly included in your plan.

Community benefits may also include online events or opportunities to participate in in-person events organized by the school. The inclusion of these benefits depends on your package and the details of each event. Access to the community does not automatically include admission to every event or cover any separately disclosed event fees.

c) Private Lessons and Other Services

Lifetime Access applies only to the components expressly identified as having lifetime access in your purchased plan.

Private lessons, individual coaching, and other Services remain subject to the quantities, duration, booking conditions, and other terms included in your package. Lifetime Access to the app, video library, or community does not convert a fixed number of private lessons into unlimited private lessons.

d) Meaning of “Lifetime”

“Lifetime Access” means access for the operating lifetime of the specific product or program component purchased.

If we discontinue a product or program component to which you have Lifetime Access, we will provide you with a minimum of twelve (12) months’ notice.

Nothing in this section reduces any broader access rights or express commitments included in your purchased plan.

9. Intellectual Property

All content included in our Services, such as video courses, lesson materials, text, graphics, and logos, is the property of Piazzasquare LLC or its licensors and is protected by copyright and other intellectual property laws.

Your purchase grants you a limited, non-exclusive, non-transferable license to access and use the content for your personal, non-commercial learning purposes, for the duration of the access included in your plan.

You may not reproduce, distribute, sell, publicly share, or commercially exploit our content without prior written permission, except as permitted by applicable law.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Piazzasquare LLC and its directors, employees, and agents will not be liable for indirect, consequential, exemplary, incidental, special, or punitive damages arising from or relating to your use of the Services.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, or any mandatory consumer rights and remedies available under applicable law.

11. Privacy Policy

Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

12. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the State of Wyoming, United States of America, without regard to its conflict of law principles.

This provision does not deprive you of any mandatory consumer protections that apply under the laws of your jurisdiction and cannot be waived by contract.
